Corporate Paralegal
This is a highly visible position supporting the Company’s corporate administration. The successful candidate will have strong analytical skills, the ability to multi-task, a can-do attitude and a desire to seek new challenges. This position will require working in a team atmosphere supporting all aspects of the Company’s administration. This person will need to apply their analytical and technical knowledge, to routine assignments and complex projects. Attention to detail is essential for success in this role.
Responsibilities
- Corporate Secretary Support
- Assist with Subsidiaries’ statutory compliance – formation, meetings & minutes
- Assist with managing the use of global Legal counsel
- Help create and manage inter-company agreements
- Exchange Filings
- Assist with SEDI reporting & interface with shareholder relations for required press releases
- Assist with monthly, quarterly and annual Exchange filings
- Assist with preparation of Annual Information Form (AIF)
- Assist with preparation of Management Information Circular (“Proxy materials")
- Assist with preparation and distribution of Board of Directors’ materials
- Assist with preparation for Board / Committee meetings
- Board of Directors’ fees
- Maintain accounting records for Board / Committee meetings & prepare quarterly journal entry for accounting group
- Prepare payment requests & interface with Payroll, where required
- Other / Miscellaneous
- Assist with tax compliance

Requirements:
Experience
3-7 years professional level work experience in corporate or public legal is required, preferably
within Exploration and Production industry
Education / Training
Bachelor's degree in Business Administration, Finance or Accounting preferred
